IHH Healthcare Berhad（本社：マレーシア、以下「IHH」）の間接子会社Northern TK Venture Pte Ltd.（本社：シンガポール、以下「NTK」）は、2026年9月10日に東京地方裁判所より言い渡された判決を不服として、東京高等裁判所に控訴状を提出しました。
判決内容を精査した結果、NTKは、上級裁判所による審理を求めるべきであるとの結論に至り、これに従い控訴権を行使しました。
IHHは、Fortis Healthcareの買収に必要な法令上の公開買付け（Mandatory Tender Offer）の承認取得が、第一三共とその判決債務者との間の紛争の渦中で遅延し、その結果として損害を被ったと考えています。IHHは当該紛争の当事者ではありません。
IHHおよびNTKによる2018年のFortis買収は、透明性が高く、広く公表された、完全に規制に則った手続きを通じて実施されました。本取引は、インド競争委員会（CCI）およびインド証券取引委員会（SEBI）の公開買付規則に基づく承認を含め、必要なすべての企業・株主・規制当局の承認を取得しています。
IHHは、インドの病院セクターにおける最大級かつ最も長い歴史を持つ外国直接投資家の一社であり、本件を巡る様々な課題があったにもかかわらず、インド市場へのコミットメントを一貫して維持してきました。私たちは、継続的な投資、責任ある経営、そして患者ケアと卓越したガバナンスへの強いコミットメントを通じて、インドの医療発展に貢献してきたことを誇りに思っています。

Northern TK Venture Pte Ltd (NTK), an indirect wholly owned subsidiary of IHH Healthcare,
has filed a petition for appeal with the Tokyo High Court against the judgment issued by the Tokyo District Court on 10 September 2026.
Having assessed the judgment, NTK concluded that it warrants appellate review by a higher court, and has accordingly exercised its right of appeal.
IHH’s position is that it has suffered losses arising from delays in obtaining the mandatory
tender offer approvals required for its acquisition of Fortis Healthcare. These delays
occurred in the context of a dispute between Daiichi Sankyo and certain judgment debtors,
to which IHH was not a party.
IHH-NTK's acquisition of Fortis in 2018 was undertaken through a transparent, widely public and fully regulated process. The transaction obtained all necessary corporate, shareholder
and regulatory approvals, including those required under the Competition Commission of
India (CCI) and SEBI takeover regulations.
As one of the largest and longest-standing foreign direct investors in India’s hospital sector,
IHH has remained steadfast in its commitment to the country despite the challenges arising
